Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of assistsupport.io and the services provided by Assist Support (“Assist Support”, “we”, “us”, or “our”). By engaging our services or using our website, you agree to these Terms in full. If you do not agree, please do not use our website or engage our services.

Assist Support is part of the Assist brand family. These Terms apply to Assist Support’s services only. Each brand in the family maintains its own terms.

2. Our Services

Assist Support provides the following services to clinics across the UK and US:

  • IT support and helpdesk services
  • Website development, hosting, and maintenance
  • SEO and AEO (answer engine optimisation)
  • Ads management (Google, Meta, TikTok)
  • Engineer services including system configuration, integrations, and staff onboarding

Services are provided remotely unless otherwise agreed in writing. The specific scope, deliverables, and pricing for each engagement are confirmed in a written quote or service agreement before work begins.

3. Quotes and Agreements

All work is scoped and quoted before it begins. A quote sets out the scope of work, the estimated time or fixed price, and the applicable rate. Work will not commence until you have confirmed acceptance of the quote in writing, including by email.

For ongoing services such as website hosting, SEO, or ads management, a separate service agreement or order form will be provided setting out the monthly scope, fee, and notice period.

We reserve the right to decline any engagement at our discretion.

4. Fees and Payment

Hourly services are billed at £30 per hour unless otherwise agreed in writing. Time is recorded against each task and reported in a fully itemised monthly invoice.

Fixed-price projects are invoiced as agreed in the relevant quote. A deposit may be required before work begins on larger projects. The deposit amount will be stated in the quote.

Ongoing monthly services are invoiced monthly in advance or in arrears as specified in the relevant service agreement.

Invoices are issued by Clinic Assist Limited (Gibraltar) or Assist Telecommunications Limited (UK) depending on your billing arrangement. VAT will be applied where applicable.

Payment is due within 14 days of the invoice date unless otherwise agreed. We reserve the right to suspend services on accounts with overdue invoices.

5. Cancellation and Notice

Hourly and one-off services may be cancelled at any time before work begins. Once work has commenced, you are liable for time already spent.

Ongoing monthly services require 30 days written notice to cancel unless otherwise stated in your service agreement. Notice must be given by email to the address provided in your service agreement.

We reserve the right to terminate any service agreement with 30 days written notice. In the event of material breach by the client, we reserve the right to terminate immediately.

6. Refunds

We do not offer refunds on time already worked and invoiced. For fixed-price projects, refunds on deposits are considered on a case-by-case basis where work has not yet commenced.

If you believe an invoice contains an error, please contact us within 14 days of the invoice date and we will review it promptly.

7. Client Responsibilities

To enable us to deliver services effectively, you agree to:

  • Provide accurate and complete information about your requirements
  • Grant us the access, credentials, and permissions necessary to carry out the agreed work
  • Respond to reasonable requests for information, feedback, or approvals in a timely manner
  • Ensure that any content, materials, or assets you provide to us do not infringe the intellectual property rights of any third party
  • Maintain appropriate backups of your own data and systems

Delays caused by failure to meet these responsibilities may affect delivery timelines and are not the liability of Assist Support.

8. Intellectual Property

Unless otherwise agreed in writing, intellectual property in all work created by Assist Support in the course of delivering services transfers to you upon receipt of full payment for that work.

We retain the right to reference the work in our portfolio and marketing materials unless you request otherwise in writing.

Any third-party software, platforms, or tools used in the delivery of services remain subject to their own licensing terms. We are not responsible for changes to third-party platforms that affect the services we deliver.

9. Access to Third-Party Systems

Where we are granted access to your practice management systems, ad accounts, website, hosting, or other third-party platforms, we will use that access solely for the purposes of delivering the agreed services. We will not share, transfer, or misuse credentials or data accessed through those systems.

You are responsible for revoking access when our engagement ends. We recommend doing so promptly.

10. Limitation of Liability

We will carry out all services with reasonable skill and care. However, to the fullest extent permitted by law:

  • We are not liable for any indirect, consequential, or incidental loss arising from the use of our services
  • Our total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the three months preceding the claim
  • We are not liable for losses arising from third-party platform changes, outages, or policy updates outside our control
  • We are not liable for losses arising from inaccurate or incomplete information provided by you

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Confidentiality

Both parties agree to keep confidential any information shared in the course of the engagement that is not publicly available. This includes but is not limited to business information, patient data, pricing, and system credentials.

This obligation survives termination of the engagement.

12. Data Protection

We process personal data in accordance with our Privacy Policy, available at assistsupport.io/privacy. Where we access personal data in the course of delivering services, we do so as a data processor acting under your instruction. A Data Processing Agreement is available on request.

13. Changes to These Terms

We reserve the right to update these Terms from time to time. Material changes will be communicated to active clients by email. Continued use of our services following notification of changes constitutes acceptance of the updated Terms. The current version of these Terms is always available at assistsupport.io/terms.
